TERMS OF USE

Purpose

This Industrii website & mobile application (hereafter referred as “application”) is provided to you (“You”, “Your”), the health care professional, by CTC Communications Corporation (“CTC”, “we”, “us”, “our”), with the objective of providing continuing medical education, at no cost, subject to your agreement to the following Terms of Use.

The purpose of these Terms of Use is to give you a clear understanding of how you can use our application, what steps we take to protect your privacy, what uses we may make of information that you maintain on our application and other important terms and conditions, related to your registration, access, and use of this application.

Terms of use

Your account

When you register with this application, you will provide certain personal information, e.g., your first name, last name, e-mail address, etc., which you agree will be current and accurate. Your E-mail ID and password constitute your authentication credentials ("credentials") that you will use to sign on to this application in the future. You agree not to share these credentials with others. It is your responsibility to protect your credentials from unauthorized access and use. If you believe the security of your credentials have been compromised, you will contact our support staff by sending an e-mail at hello@industrii.co. Should you lose your credentials, you will immediately change your password, to avoid unauthorized access to your account.

Communication

You may receive commercial e-mails including news, learning events, product, and therapeutic information. You can unsubscribe from the mailings at any time by sending an e-mail at hello@industrii.co.

CTC may also wish to conduct surveys to better understand your educational needs. Your participation will greatly assist us in this important undertaking. We may contact you to participate in surveys that may be of interest and importance to you. Participation in these surveys is on voluntary basis.

Acceptable use of this application

You may use this application only for lawful, non-commercial purposes. You may not use this application in a manner that could impair or do any harm to our servers, network or technology we use to provide this application. You may not interfere with anyone else's use of this application or take actions that limit this application’s effectiveness for other users. You may not attempt to gain unauthorized access to any other user’s account by any means. The accuracy of any information that you store on this application is your sole responsibility, and we assume no liability for the accuracy of your information. You will not disassemble, decompile, or reverse engineer any software that is a part of this application.

You shall notify us immediately of any unauthorized use or threat of unauthorized use of your account or this application or of any other breach or potential breach of security known to you with respect to your account or this application, including without limitation any loss or compromise of any credentials, and will cooperate with us in every reasonable way to help us prevent the further unauthorized use, threat of unauthorized use, disclosure or threat of disclosure regarding this application, your account and/or your credentials.

Confidentiality and intellectual property rights

Except for any information that you provide, the content of this application and all software contained in or underlying this application are intellectual property of CTC. CTC owned content and software is protected by Canadian and international copyright law and conventions and other laws protecting intellectual property. Use of this information for any purpose is prohibited without the prior written permission of CTC. Also, the information available through this application includes confidential information. You agree not to disclose or use such confidential information other than as appropriate or for intended purpose.

Product and company names mentioned on this application may be the trademarks of their respective owners. Any copying, republication, or redistribution of this application’s content is expressly prohibited without the prior written consent of CTC or the respective intellectual property rights holder identified in the subject content.

CTC respects the intellectual property of others, and we ask our users to do the same. CTC may at its discretion limit, disable and/or terminate the access of any users who may be infringing the intellectual property rights of others.

Disclaimer of Liability

The information available on the application is provided "as is" without warranty of any kind. The user assumes all responsibility for the use of this application. All information transmitted to this application is secure to the extent possible using existing technology. You should keep in mind, however, that no Internet transmission is ever 100% secure or error-free. Moreover, where you use passwords, identification (ID) numbers, or other special access features on this application, it is your responsibility to safeguard them.

The application is for medication education purpose, and we do not provide medical advice, diagnosis, or treatment. The information accessible on this application, and the information and data produced by the application are not a substitute for professional advice, diagnosis, or treatment.

CTC makes no warranty, guarantee, or representation as to the accuracy or sufficiency of the information posted herein. Under no circumstances, including negligence, shall CTC or anyone else involved in creating or maintaining this application be liable for any direct, indirect, special, or incidental/consequential damages or lost profits that result from the use or inability to use this application and/or any other websites that are linked to this application. These include but are not limited to reliance by a member or visitor on any information obtained via the application, or problems that result from mistakes, deletion of files, errors, omissions, interruptions, viruses, defects, failure of performance, theft, communications failure, destruction, or unauthorized access.

CTC makes a reasonable effort to keep the database up-to-date and accurate; however, accuracy, completeness, and timeliness of the information cannot be guaranteed. Thus, CTC shall not be liable for decisions and actions taken based on the databases on this application.

Disclaimer – Unlabeled Indications

CTC does not recommend the use of any agent outside of the labeled indications. Please refer to the official prescribing information for each product for discussion of approved indications, contraindications, and warnings.

Participants have an implied responsibility to use newly acquired information to enhance patient outcomes and their own professional development. The information presented in this activity is not intended to serve as a guideline for patient management.

Any procedures, medications, or other courses of diagnosis or treatment discussed or suggested in the activity should only be used by clinicians based on the evaluation of their patients' conditions and possible contraindications or dangers in use, review of any applicable manufacturer's product information, and comparison with recommendations of other authorities.

Changes to the Application

We are constantly working to improve how this application enhances its value to the participants, and as a result, we may add or remove features or content, or substitute existing features or content with others, as we determine appropriate. You agree that we may do so, subject to your right to cancel your account at any time. Content does not include information you provide on this application.

Changes to This Agreement and Rights to Change or Discontinue the Application or Your Use

CTC may change these Terms of Use at any time by posting a subsequent version on this application. You are responsible for periodically reviewing these Terms of Use and to discontinue your account and the use of this application if you do not agree to any such changes. Your continued use of this application following such changes constitutes your acceptance of the new Terms of Use, regardless of whether CTC notified you of the changes.

Termination or Suspension of Your Account

CTC may terminate or suspend access to your account if it determines that there has been a violation of these Terms of Use, or other policies and terms posted on this application, whether by you or by someone using your credentials. We will attempt to notify you in advance of such action, to the extent we determine that it is reasonable to do so. Your right to access and use this application account will end once your account is terminated, and any data you have stored may be unavailable later, unless we are required to retain it by law. You may terminate your account at any time and for any reason.

Entire Agreement

These Terms of Use, together with the Privacy Policy, constitute the entire agreement between you and CTC relating to the medical education provided through this application and supersedes all previous agreements relating to its subject matter. Nobody, including any representative of CTC, is authorized to make any changes or modifications to the terms of this agreement other than changes that are instituted through the authorized posting of subsequent versions of this agreement on this application. You are not entitled to act or rely on any representations to the contrary.

A failure by CTC to enforce any provision of this agreement, or a waiver by CTC of any breach of this agreement, shall not act as a bar to subsequent enforcement of such provision or be deemed a waiver of any subsequent breach. If any part of these Terms of Use is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.
